The Warner Bros Discovery (WBD.O) chief executive will have to more than double the value of the media company if he wants to collect a lavish $200 million compensation package awarded when Discovery agreed to merge with Warner Media in 2021. The news sent shares plunging 19%, the largest one-day drop since Discovery merged with Warner Media. Its current value is over $18 billion when applying Bernstein’s multiple of 8 times EBITDA. At the end of September, the company had net leverage – after deducting $2.4 billion cash – of 4.2 times EBITDA. Shares of Warner Bros Discovery fell 19% on that day.

Feb 24 (Reuters) - Warner Bros Discovery's (WBD.O) shares fell on Friday as Wall Street sees more pain for the media giant that posted more than $2 billion in fourth-quarter losses and cut annual profit forecast as ad market weakness persists. The uncertainty of an ad market recovery in the current market condition, with a potential recession looming, is hounding large media and tech firms such as Paramount Global (PARA.O) and Google-parent Alphabet Inc (GOOGL.O) alike. "The biggest unknown continues to be in the ad sales environment," Gunnar Wiedenfels, chief financial officer of Warner Bros Discovery said. This implies a range of $11 billion to $11.5 billion, below its previous target of $12 billion. The company led by David Zaslav plans to keep the Discovery+ streaming service, home to “Shark Week,” separate from the newly added HBO Max, the Wall Street Journal reported on Wednesday. HBO Max is one of the most expensive options, at $16 per month with no advertising. If Warner Bros Discovery can’t even work out an internal merger, it suggests the industry’s reckoning may be further off. The $145 billion company on Wednesday disclosed a $25 billion non-cash impairment charge partly related to its landline business. AT&T benefited in other ways, adding 656,000 net new mobile subscribers who pay monthly in the fourth quarter, far better than what Verizon Communications (VZ.N) managed. In the fourth quarter, AT&T’s average revenue per user for its fiber product was approaching $65, $10 higher than what its non-fiber service fetches. At least it’s a venture in AT&T’s wheelhouse, and a higher fiber diet should help mitigate the M&A bloat.

Discovery has signed a deal with VideoAmp to measure its audience as an alternative means of data for advertisers, the companies announced Tuesday. Firms like Nielsen and VideoAmp offer audience estimates and data that TV networks and streamers use to sell slots for commercials. The merger between Discovery and Warner Media closed in 2022, amassing a portfolio of TV networks including the Discovery Channel, TLC, TNT, TBS and others. The merged company plans to roll out a revamped streaming platform in the spring, combining its Discovery+ with Warner's HBO Max. "Traditional media measurement has not kept pace with how consumers are engaging with streaming and linear content.

The Warner Bros Discovery (WBD.O) boss has encountered a series of problems since his splashy merger in April. A giant pile of borrowed money used to help cover the cash outlay to AT&T (T.N) for Warner Media looms large. Warner Bros Discovery counts more than 90 million subscribers for services such as HBO Max, less than half as many as at Disney and Netflix. There might be another $3 billion in savings, using the same 20% of EBITDA targeted by Warner Media and Discovery. Its shares have fallen about 48%, to nearly $12 apiece, since the merger of Discovery with AT&T’s Warner Media on April 8.
Investors should buy AT & T after its strong third-quarter results, according to Truist. The analyst reiterated a $21 price target, implying 25% upside from Thursday's closing price of $16.74. Shares of AT & T have outperformed this year, down nearly 10% compared to the S & P 500's roughly 23% drop. However, they have also underperformed over the past 15 years, with the stock down about 47% over the past 15 years, compared to the S & P 500's gain of nearly 145% over the same time period, according to the note. Still, the analyst expects that AT & T's return to its core business of wireless and wireline connectivity after divesting Warner Media and DirecTV will improve the company.
